Early Morning Shift | Foundational Legal Role


This is not a back-office legal position.

This role exists to build, protect, and govern ASG Platform’s legal foundation in the Philippines as we establish and scale our local entity.

We are looking for a Corporate Attorney who thinks strategically, works with discipline, and treats law as a business advantage, not a checkbox.


About ASG Platform

ASG Platform is a fast-growing international organization building a high-performance, globally integrated team.

We are currently establishing and scaling our Philippine legal entity, and this role will serve as one of the foundational legal seats of our local operations.

We do not operate reactively.

We plan, structure, and protect our organization with intention.

This role reports closely to leadership and plays a direct role in governance, risk management, and long-term compliance strategy.

As ASG expands its operations in the Philippines, legal work is not an afterthought — it is infrastructure.


This role exists to ensure:

  • Clean corporate formation and governance
  • Disciplined regulatory compliance
  • Strong contract and risk management practices
  • Proactive litigation and reputation protection

This is not a role for someone who only “handles cases.”

This is a role for a lawyer who can operate in complexity and bring clarity, order, and protection to the organization.


About the Role

As Corporate Attorney, you will serve as a key legal partner to leadership.

You will:

  • Lead corporate formation and governance work
  • Ensure ongoing compliance with Philippine regulatory requirements
  • Handle or coordinate litigation matters, including reputational disputes
  • Draft and negotiate contracts aligned with the company’s risk posture
  • Help leadership make informed, legally sound decisions

This is a seat-at-the-table role for a lawyer who can balance precision, judgment, and execution.


Key Responsibilities

Corporate Formation & Governance

  • Lead and support formation and registration of ASG Platform’s Philippine entity
  • Manage corporate secretarial requirements:
  • statutory recordkeeping
  • board resolutions
  • secretary’s certificates
  • governance documentation
  • Oversee SEC compliance filings (e.g., GIS, AFS, and related requirements)


Compliance & Legal Advisory

  • Provide day-to-day legal guidance to leadership on:
  • corporate structuring
  • governance and compliance
  • commercial and operational risk
  • Ensure compliance with applicable Philippine laws, including:
  • corporate governance
  • labor regulations
  • data privacy requirements
  • tax-related compliance (as applicable)


Litigation & Reputation Protection

  • Handle or coordinate litigation and legal disputes, including:
  • online defamation and libel cases
  • reputation protection matters
  • false claims or misinformation involving the organization
  • Prepare or supervise pleadings, motions, affidavits, and case documentation
  • Coordinate with external counsel when required


Contracts & Legal Documentation

  • Draft, review, and negotiate:
  • stakeholder agreements
  • NDAs
  • employment and policy-related documents
  • Ensure contracts reflect the company’s long-term priorities and risk posture


Cross-Border Collaboration

  • Work closely with U.S. and Philippine leadership
  • Communicate clearly and professionally in English
  • Maintain confidentiality, ethical standards, and independent legal judgment


Qualifications (Non-Negotiable)

  • Licensed Philippine attorney
  • Member in good standing with the Integrated Bar of the Philippines (IBP)
  • MCLE-compliant
  • Strong command of written and spoken English
  • Proven experience in:
  • corporate or commercial law
  • contract drafting and review
  • SEC registration and corporate filings
  • Capable of handling or coordinating litigation matters
  • (particularly defamation or reputational disputes)


Preferred Profile (Strong Advantage)

  • Experience supporting entity formation for foreign or multinational organizations
  • Familiarity with:
  • labor compliance
  • data privacy governance
  • IP-related matters
  • Comfortable handling government filings or transactions when needed
  • (SEC, BIR, DOLE, NPC, etc.)
  • Based outside Metro Manila
  • (Cebu, Davao, or provincial locations preferred)


Work Setup & Schedule

  • Work Arrangement: Remote (Philippines-based)
  • Schedule: Early Morning Shift
  • 4:00 AM – 1:00 / 2:00 PM PHT
  • (supports U.S. overlap and daytime access to government offices)


Compensation & Growth

Monthly Compensation

  • ₱70,000 – ₱120,000, depending on experience and fit


Employment Structure

  • Starts as Independent Contractor (with 90-day work trial and 180-day probationary status)
  • Clear path to employee transition upon entity establishment and evaluation
